Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") govern access to and use of the Verity Audit website and application (the "Service"), operated by Verity Audit ("Verity", "we", "us"). By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organisation you represent.
2. Accounts and organisations
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials, including any two-factor authentication method.
An organisation administrator is responsible for managing user access within their organisation, including removing access for users who should no longer have it.
You are responsible for all activity that occurs under your account.
3. Acceptable use
You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorised access to another organisation's data or to the Service's infrastructure; probe, scan or test the security of the Service without prior written authorisation; upload malicious code; or interfere with the availability of the Service for other users.
You are responsible for the content your organisation uploads to the Service, including ensuring you have the right to store and process it there.
4. Subscriptions, trials and billing
Certain plans are offered free of charge; paid plans are billed on the cadence described at checkout (for example, monthly per user). Prices displayed on our Pricing page are subject to change, and we will provide reasonable notice of price changes to existing paid subscriptions.
Enterprise plans are governed by a separate order form or agreement where one is executed; in the absence of such an agreement, these Terms apply.
You may cancel a paid subscription at any time; cancellation takes effect at the end of the current billing period unless otherwise stated.
5. Your data
As between you and Verity, your organisation retains all rights to the audit content it uploads or creates in the Service (audit universe entries, risk assessments, working papers, evidence, issues and reports). We do not claim ownership of your content.
You grant Verity a limited licence to host, process and display your content solely to provide the Service to you.
Upon termination, you may export your data for a reasonable period before it is deleted from our systems, as described in our Privacy Policy.
6. Service availability
We aim to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. We may perform planned maintenance and will aim to minimise disruption. Specific uptime commitments, if any, are set out in an Enterprise order form.
7. Security responsibilities
We are responsible for the technical and organisational security measures described in our Security page. You are responsible for using strong, unique credentials, enabling two-factor authentication where available, and managing user access within your organisation appropriately.
8. Intellectual property
The Service, including its software, design and branding, is owned by Verity or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights to Verity's trademarks, logos or brand assets except as necessary to use the Service as intended.
9. Disclaimers
The Service is provided "as is" and "as available". Verity supports your audit process but does not perform audit work, exercise professional judgment, or guarantee any particular audit, compliance or assurance outcome. Your organisation remains responsible for the professional conduct and conclusions of its own internal audit function.
10. Limitation of liability
To the maximum extent permitted by law, Verity will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months preceding the claim, except where liability cannot be limited by law.
11. Termination
We may suspend or terminate access to the Service for violation of these Terms, non-payment, or to protect the security or integrity of the Service, with notice where reasonably practicable. You may stop using the Service and close your account at any time.
12. Changes to these terms
We may update these Terms from time to time. Material changes will be reflected by an updated "last updated" date, and where appropriate we will provide additional notice before they take effect.
13. Governing law
These Terms are governed by the laws applicable in Verity's place of business, without regard to conflict-of-law principles, except where local law requires otherwise.
